The Rs 1,617 crore IPO opens for subscription on August 12. Here’s the price band, offer-for-sale details, and other key information.
Mumbai: E-commerce enablement platform Shiprocket has announced the details of its Rs 1,617.49 crore initial public offering (IPO), which will open for public subscription on August 12 and close on August 14. Anchor investors will be able to bid on August 11.
The IPO is around 31% smaller than the Rs 2,342.35 crore issue proposed in the company’s updated draft red herring prospectus (DRHP) filed in December 2025.
Price Band and Issue Structure
Shiprocket has fixed the IPO price band at Rs 92 to Rs 97 per share. At the upper end of the price band, the company is expected to command a post-listing market capitalization of approximately Rs 7,057.5 crore.
The public issue comprises:
- A fresh issue of shares worth Rs 885.5 crore
- An offer for sale (OFS) of Rs 731.99 crore by existing shareholders
Major Selling Shareholders
The largest seller in the OFS is LR India Fund I S.a.r.l. SICAV-RAIF, which plans to offload shares worth Rs 271.70 crore.
Other key selling shareholders include:
- Tribe Capital III LLC – Series 1: Rs 120 crore
- MCP3 SPV LLC: Rs 55.53 crore
- Moore Strategic Ventures LLC
- Agility International Investment L.L.C.
- 500 Startups III L.P.
Among the founders, Gautam Kapoor and Saahil Goel will each sell shares worth Rs 61 crore, while Vishesh Khurana will offload shares worth Rs 20 crore.
Notably, Bertelsmann Nederland B.V. and Arvind Limited, which were part of the proposed OFS in the December DRHP, are no longer selling shares in the current issue.
Shareholding Before the IPO
Before the IPO, Bertelsmann Nederland remains Shiprocket’s largest shareholder with a 21.32% stake.
Other major shareholders include:
- Tribe Capital III entities: 14.14% combined
- Eternal Limited (formerly Zomato): 6.85%
- KDT Ventures Holdings: 5.49%
- MacRitchie Investments: 5.29%
- Shiprocket Employee ESOP Trust: 5.97%
- Gautam Kapoor: 4.84%
- Saahil Goel: 4.84%
How Shiprocket Will Use the Funds
The company plans to utilize the proceeds from the fresh issue to strengthen its business across multiple areas.
The funds will be used to:
- Expand technology infrastructure and platform capabilities
- Invest in marketing and business growth initiatives
- Repay or prepay certain borrowings
- Pursue future acquisitions
- Meet general corporate requirements
Shiprocket will not receive any proceeds from the offer-for-sale component, as those funds will go directly to the selling shareholders after applicable taxes and expenses.

Financial Performance
Shiprocket reported steady revenue growth during FY26.
Revenue from operations increased 24% to Rs 2,024.14 crore, compared with Rs 1,632.01 crore in FY25.
However, the company’s losses widened slightly. Its restated consolidated net loss increased to Rs 79.25 crore in FY26 from Rs 74.45 crore a year earlier.
Listing Details
Shiprocket is a professionally managed company and does not have an identifiable promoter under SEBI regulations and the Companies Act.
The IPO is being managed by Axis Capital, BofA Securities India, JM Financial, and Kotak Mahindra Capital as the book-running lead managers, while KFin Technologies is acting as the registrar.
The company’s shares are proposed to be listed on both the BSE and the NSE, with the NSE designated as the lead stock exchange.
