A New Chapter Begins for One of the World’s Largest Pizza Brands

Pizza Hut is changing hands.

Yum Brands has agreed to sell the global pizza chain in a pair of transactions worth approximately $2.7 billion, marking one of the biggest restaurant industry deals in recent years.

Private equity firm LongRange Capital will acquire Pizza Hut’s global operations outside mainland China for roughly $1.5 billion, while Yum China will purchase the China business for approximately $1.2 billion.

The move ends nearly five decades of Pizza Hut’s association with PepsiCo and later Yum Brands, opening a new chapter for a brand that once dominated the global pizza market but has faced growing competition in recent years.

Why Yum Brands Decided to Sell Pizza Hut

The sale follows a strategic review announced by Yum Brands in late 2025.

According to the company, management and the board concluded that Pizza Hut would be better positioned under owners focused specifically on accelerating its growth and transformation.

While Pizza Hut remains one of the world’s largest restaurant brands, it has struggled to keep pace with changing consumer habits and increasingly aggressive competitors.

In the United States, Pizza Hut spent years transitioning from its traditional dine-in model, famous for red-roof restaurants and salad bars, to delivery and carryout services. However, competitors moved faster.

Today, the U.S. pizza market is dominated by digital-first operators such as Domino’s, while food delivery platforms like DoorDash and Uber Eats have further reshaped customer expectations.

The brand’s slower adaptation has resulted in declining market leadership.

From Market Leader to Challenger Brand

Founded in 1958 by brothers Dan and Frank Carney in Wichita, Kansas, Pizza Hut quickly became a restaurant success story.

Just one year after opening its first location, the company began franchising. By 1969, Pizza Hut had gone public, and by 1971, it had become the largest pizza chain in the world.

For decades, the company remained synonymous with pizza dining.

However, industry dynamics changed dramatically with the rise of technology-driven delivery models.

In 2017, Domino’s officially surpassed Pizza Hut as the world’s largest pizza chain by sales, ending Pizza Hut’s decades-long dominance.

Despite these challenges, Pizza Hut remains a massive global business.

At the end of 2025, the company operated nearly 20,000 restaurants across 108 countries and territories, generating approximately $12.8 billion in annual system sales.

The Importance of the China Business

One of the most valuable parts of Pizza Hut’s global network remains China.

According to Yum Brands’ filings, China accounts for roughly 20% of Pizza Hut’s global system sales, making it the chain’s second-largest market after the United States.

The acquisition by Yum China allows the company to gain full control of a business it already operates and understands deeply.

China’s restaurant market continues to offer long-term growth opportunities, particularly as consumer spending recovers and demand for international food brands remains strong.

For Yum China, the transaction strengthens its position in one of the world’s largest quick-service restaurant markets.

What LongRange Capital Is Buying

LongRange Capital will take ownership of Pizza Hut’s operations across more than 100 countries outside mainland China.

The private equity firm is betting that Pizza Hut’s enormous global footprint, strong brand recognition, and franchise network can be revitalized through focused investment and operational improvements.

While specific turnaround plans have not yet been disclosed, industry analysts expect greater emphasis on:

Digital Ordering

Consumers increasingly expect seamless mobile ordering, personalized offers, and faster delivery experiences.

Delivery and Takeaway Growth

Off-premise dining continues to drive restaurant industry growth globally, making delivery infrastructure critical.

Menu Innovation

Competition from fast-casual brands and local operators has increased pressure on legacy restaurant chains to innovate.

International Expansion

Many emerging markets still offer significant opportunities for Pizza Hut to expand its presence.

Financial Impact for Yum Brands

The transactions are expected to generate approximately $2.3 billion in net proceeds for Yum Brands after taxes, fees, and closing adjustments.

The company could also receive an additional $75 million earnout payment from LongRange Capital by 2030 if certain performance targets are achieved.

Yum Brands expects to incur approximately $85 million in one-time transaction-related expenses during the remainder of 2026.

Investors reacted positively to the announcement, with Yum Brands shares rising nearly 2% following the news.

The End of an Era

The deal also marks the end of Pizza Hut’s long-standing connection with KFC and Taco Bell.

Pizza Hut became part of PepsiCo in 1977, helping the beverage giant build a powerful restaurant portfolio that eventually included Taco Bell and KFC.

When PepsiCo spun off its restaurant division in 1997, the business became Tricon Global Restaurants, which was later renamed Yum Brands.

For nearly three decades, Pizza Hut remained one of Yum’s flagship brands.

Now, after years of changing consumer preferences, intense competition, and strategic reassessment, the company is moving into new hands.

What Happens Next

The transactions are expected to close during the third quarter of 2026, subject to regulatory approvals.

For LongRange Capital, the challenge will be reviving a globally recognized brand that still generates billions of dollars in annual sales but has struggled to maintain leadership in an increasingly digital marketplace.

For Yum Brands, the sale allows greater focus on faster-growing brands and a simplified business structure.

And for Pizza Hut, the $2.7 billion deal represents more than a change in ownership. It is an opportunity to redefine its future while building on a legacy that spans nearly seven decades and 20,000 restaurants worldwide.
