Chandrasekaran will not seek reappointment after his current term ends, setting the stage for a leadership change at Tata Sons.

N Chandrasekaran will step down as chairman of Tata Sons when his current term ends on February 20, 2027, after deciding not to seek another five-year term.

Chandrasekaran announced the decision on Wednesday after informing the Tata Sons board and asking it to begin the succession process. He will remain chairman until his current term expires.

“I have decided not to offer myself for reappointment when my term ends on Feb 20, 2027,” Chandrasekaran said. He added that he had asked the board to decide on his successor soon to ensure a smooth transition.

The statement was issued by TCS to the NSE and BSE after the exchanges sought clarification over reports that Chandrasekaran would leave his position.

Reappointment Proposal Remained Unresolved

According to Chandrasekaran, the Sir Dorabji Tata Trust and Sir Ratan Tata Trust had unanimously recommended that he receive another five-year term. The recommendation was also recorded by the Tata Sons Nomination and Remuneration Committee and the board.

The proposal was placed before the Tata Sons board on February 24, 2026, but did not receive unanimous support after one board member declined to back it.

Chandrasekaran said he chose to defer the decision rather than proceed without unanimous support. Six months later, no resolution had been reached.

He said leadership clarity had become increasingly important as Tata Sons manages several strategic projects at critical stages of execution. A clear succession plan, he added, would provide certainty to employees, investors, partners and other stakeholders.

Four Decades With the Tata Group

Chandrasekaran has spent 40 years with the Tata Group, beginning his career at TCS in 1987. He eventually became CEO of TCS before being appointed executive chairman of Tata Sons in January 2017. He formally took charge on February 21, 2017.

The Tata Sons board unanimously renewed his term for another five years in February 2022. His current term is scheduled to end on February 20, 2027.

Reflecting on his tenure, Chandrasekaran described leading Tata Sons as both a major honour and a responsibility.

Tata Sons AGM Approaches

The announcement comes days before the Tata Sons annual general meeting on August 18, 2026.

An AGM notice dated June 12 had listed Chandrasekaran’s reappointment as a director among the ordinary business items. The notice stated that he was liable to retire by rotation and had offered himself for reappointment.

His decision not to seek another five-year term as executive chairman is separate from the proposed reappointment as a director at the AGM.

Tata Sons is the principal investment holding company and promoter of Tata Group companies. Philanthropic trusts own 66% of its equity share capital.

Tata Group’s Expansion Under Chandrasekaran

During Chandrasekaran’s tenure, the Tata Group expanded into areas including semiconductors, electronics manufacturing, consumer internet services and battery production. The group also strengthened its aviation business through the acquisition of Air India.

According to Tata Sons’ latest AGM documents, the group recorded $185 billion in revenue in FY2025-26. Its 26 publicly listed companies had a combined market capitalisation of $277 billion as of March 31, 2026.

Chandrasekaran also chairs the boards of several major Tata companies, including TCS, Tata Steel, Tata Motors, Tata Power, Air India, Tata Consumer Products and Indian Hotels Company. His statement did not announce any changes to those positions.

His decision now begins a significant leadership transition at Tata Sons. With Chandrasekaran set to leave in February 2027, the board faces the task of selecting his successor and ensuring continuity across the group’s businesses and long-term projects.
